RESOLUTION INTERNET USER AGREEMENT

(TERMS AND CONDITIONS OF USE OF THE RESOLUTIONINTERNET.COM WEB SITE)

By registering to use the Services provided by Resolution Internet, LLC ("RI"), you (as a "User") agree to and accept the terms and conditions set forth herein (and any use thereafter, including any use by any other person under your user identification and password, constitutes acceptance of and agreement to the terms and conditions set forth herein). The Terms and Conditions are available for review at any time on www.resolutioninternet.com/accounts/service.html and may be updated from time to time upon notice to you by standard and/or electronic mail.

1. Services: Registered RI Users are provided with online access to and use of the following "Online Services" (as and when made available by RI):
  1. Online Damages Model
  2. Online Data Collection
  3. Online Survey Services
  4. Online Jury Consulting

New Online Services may be added from time to time and the Online Services may be modified at any time at RI's sole discretion. The Online Services are provided "as is", provided that RI will use commercially reasonable efforts to maintain their performance and reliability, including the storage or maintenance of User Data (see below).

2. Registration: In order to use the Online Services, a User must register and maintain a User account with RI. Each User will provide current and accurate information, including but not limited to: Name, Address, Phone Number, Fax Number, Email/Login, Password, and Billing Address ("Registration Data") in the User registration form. Each User is responsible for updating his or her Registration Data immediately in the event that any Registration Data changes or becomes obsolete.

3. Term: User Registration and the accompanying privileges are available indefinitely. However, a User may be terminated as described in Paragraph 8 ("Termination").

4. User Conduct: Each User agrees: (i) to conduct business in a manner that reflects favorably at all times on RI and the good name, goodwill and reputation of RI; and not to publish or use or cooperate in the publication or use of any misleading or deceptive advertising material concerning RI. In addition, in using the Services, Users agree to:
  • Have only one unique User account and may not have any aliases or other means for maintaining multiple User accounts for the Online Services.
  • Maintain the confidentiality of their Username/Login and Password, and are responsible for all activities that occur under such Username/Login and Password.
  • Not publish any content that is unlawful, harmful, threatening, abusive, harassing, hateful, or racially, ethnically, or otherwise objectionable.
  • Not publish any content that that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any person or entity.
  • Violate any applicable local, state, national, or international law.

5. Consulting Services: RI, or another service provider authorized by RI, may provide additional Consulting Services either in support of or exclusive of the Online Services. Consulting Services may be subject to additional payment and are otherwise subject to the terms and conditions set forth herein. Each User specifically acknowledges and agrees that RI is affiliated with an economics consulting firm known as Resolution Economics that may provide consulting and related services to any party, including any party that may now or in the future have a dispute with the User or one or more clients of the User. Resolution Economics will not be provided with any data entered by a User regarding a client of the User, except where expressly authorized in writing by the User. The User expressly agrees that neither the User nor the User's client will have any basis for attempting to disqualify Resolution Economics from a consulting engagement for any reason (including that the User's (or User's client) has used RI's Services and/or provided data to RI), and the User agrees for itself and its clients that no attempt will be made to disqualify Resolution Economics from providing any services attendant to a consulting engagement.

6. Training Services: RI (or another service provider authorized by RI) may provide additional Training Services to support the Online Services. Training Services may be subject to additional payment and are otherwise subject to the terms and conditions outlined herein.

7. Payment: Payment for any Services provided by RI are payable on a per-use basis. Payment will be made according to the prices published on the ResolutionInternet.com website for the respective Services, and pricing may change from time to time. Payment for Online Services, plus applicable taxes, may be made by either one of two methods: 1) a credit card charge or 2) monthly payment pursuant to invoice rendered by RI. If the User chooses the credit card charge option, the credit card charge will be assessed and the User will be presented with an electronic receipt upon starting each use of a service. If the User elects the monthly payment option, RI will present the User with an invoice for use of the RI services, and payment in full is due within thirty (30) days of RI's submission of an invoice. RI may transmit invoices by standard and/or electronic mail to the standard mail and/or email addresses provided by the User upon registration. Payments may be remitted in United States dollars to:

Any payment not made when due will accrue interest at the rate of 1.5% per month (APR 18%), or the highest rate permitted by law, whichever is less. Failure to pay within ninety (90) days may result in a User's termination of service. RI shall be entitled to recover all costs (including attorneys' fees and costs) incurred in collecting overdue payments.

8. Termination: RI may terminate the Services without prior notice and without liability. In addition, RI may terminate a specific User's use of the Service upon prior notice for any one of the following reasons:
  1. Account balance overdue for 60 days.
  2. Inaccurate Registration Data.
  3. Inappropriate use of the Services, including but not limited to a violation of the User Conduct requirements at Paragraph 4.
  4. Any other actions of User deemed by RI to be objectionable.

RI may agree in its sole discretion to reinstate a User account upon correction of the offense for which the User's account was terminated. Users may not open a new User account after they have been terminated, unless otherwise authorized to do so by RI. Upon termination, User Data may be archived indefinitely at RI's sole discretion.

9. User Data and Privacy: RI will collect User Data and will manage this data as outlined in its "Privacy Policy" which is available at the Resolutioninternet.com web site, and User specifically assents to the terms of such Privacy Policy, as it may be amended from time to time.

10. Hosting: Hosting and maintenance of the Online Services will be provided by a third party hosting provider appointed by RI in its sole discretion. RI makes no representation or warranty regarding the suitability of such appointed hosting provider for the services and products provided on the RI site.

11. Maintenance: RI and its hosting provider may elect to suspend the Online Services for routine maintenance, upgrades, repairs, or other modifications. In no event will RI be liable to you for any damages for any interruptions or transmission delays beyond its control, including those caused by internet service providers or Users. However, RI will use commercially reasonable efforts to maximize uptime for the Online Services.

12. Documentation/Manuals: RI will provide users with online guidance and/or manuals for the Online Services. RI will provide updates to these materials in a timely manner, as necessary. Users may not distribute such guidance materials and/or manuals to any other party.

13. No Resale of Service: Users agree not to duplicate, reverse engineer or resell any portion of the Online Services.

14. Links: RI may provide links to other online sites or resources. RI is not responsible for the content, acts, or representations set forth at such sites, or for any damage or loss caused by or in connection with such sites or resources.

15. Governing Law and Attorneys' Fees: This Agreement shall be governed in all respects by the substantive laws of the State of California, United States of America (excluding conflict of laws rules) as applied to agreements entered into and to be performed entirely within the State of California between California residents. In the event of any litigation or arbitration by the parties under this Agreement, the prevailing party shall be entitled to its costs and reasonable attorneys' fees. The User agrees to resolve all disputes either by arbitration or litigation in Los Angeles, California, and hereby waives any claims that Los Angeles is an inconvenient forum.

16. Proprietary Rights: The User agrees that RI owns all right, title, and interest in the intellectual property rights related to the Services, including, without limitation, all patents, trademarks, trade names, inventions, copyrights, know-how, and trade secrets relating to the design, manufacture, operation or service of the Services. Usage of any of these property rights is authorized only for the purposes and to the extent set forth in these terms and conditions.

17. Confidentiality: The User acknowledges that, in the course of using the Services, it may obtain information relating to the Services and to RI which the other party knows or has reason to know is of a confidential and proprietary nature ("Confidential Information"). Such Confidential Information may include, but is not limited to, trade secrets, know-how, inventions, techniques, processes, programs, schematics, software source documents, data, pricing and discount schedules, customer lists, financial information, and sales and marketing plans. The User will at all times, both during the term of its use of the Services and for a period of at least five (5) years after its final use of the Services, keep in confidence all such Confidential Information, and will not use such Confidential Information without RI's written consent except in the performance of its duties hereunder. Each party further agrees promptly to return to the other party all Confidential Information, including copies thereof, in its possession, custody or control in the event of termination of this Agreement.

18. Warranty: The User expressly understand and agree that:
  • Use of the Services is at the User's sole risk. The Services are provided on an "as-is" and "as-available" basis. RI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND (INCLUDING WITH RESPECT TO ANY SERVICES OR PRODUCTS PROVIDED BY THIRD PARTIES IN THE OPERATION OF THE SITE), WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR AS TO TITLE OR NONINFRINGEMENT, WITH RESPECT TO THE SERVICES.
  • RI makes no warranty that the service will meet your requirements; that the service will be uninterrupted, timely, secure, or error-free; that the results that may be obtained from use of the service will be accurate or reliable; or that any errors in the software will be corrected.
  • Any material that is downloaded or otherwise obtained through the use of the service is done at the User's sole discretion and risk, and is not the responsibility of RI.

Limitation of Liability: You expressly understand and agree that RI shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits or opportunity, goodwill, use, data, or other losses resulting from any matter relating to the Services. RI's aggregate liability to any User shall be limited to the amount of payments made by the User to RI in the three (3) months preceding the claim.
